After owning/running every aspect of my business of 20 years, I was ready to close it up. I was burned out to the point of just walking away rather than selling the business. With some redirection from family and friends, I decided to get some other opinions.
When I called Utah Business Consultants, I was able to talk to Cal Black, one of the brokers who had recently sold a home health agency, similar to the business I owned. Being inexperienced in anything to do with selling or buying, I was naive. Cal patiently explained the process and encouraged me to think about selling rather than walking away.
I can genuinely say that Cal answered every question, fear and apprehension with honesty and kindness. I felt that Cal listened to me and respected my opinions and requests. He had a very clear understanding of what my emotional investment was, having started and ran the business for 20 years. A person can get very attached to their employees, customers, and how they run their business, and Cal's understanding made it so much easier on me.
Cal was ALWAYS able to be reached, he was prepared with the right information each time we met with prospective buyers, and he was candid with me about the entire process. I will forever be grateful that I had such a professional and knowledgeable person help me sell my beloved business.
Every aspect of the legal paperwork was handled by Utah Business Consultants. Before I signed any of the documents, I had my CPA who is also an attorney, look over the paperwork. This review is specifically for Cal Black. He tried to take advantage of the fact that we were first time buyers. Maybe he acts differently to those experienced in business dealings or with deals of greater monetary value. I hope that my review helps others in a similar situation achieve a better outcome. From the beginning, he continuously encouraged me not to get an attorney by suggesting he could help draft documents and by making remarks about how most attorneys don’t understand business and it can complicate things. He tried to pressure me into writing up a purchase agreement, knowing that I had not yet consulted with an attorney. After hiring an attorney, we sent an email to Cal with a due diligence checklist and other concerns to discuss. Cal immediately called me and said “This is exactly why we don’t like attorneys getting involved because they muck everything up.” He berated me for sending the email and “demanding” these things. He yelled at my husband at least 4 different times and threatened to end the deal himself. We had to stop answering his phone calls all together. In addition to this, he continued to solicit the sale of the business after the seller had agreed to exclusivity. Several other unethical things were said and done but the fact that he would get this upset over a buyer hiring a lawyer is mind blowing. Why would any broker behave in this manor unless he had something to hide or was just a straight up megalomaniac?
